NonProfit Board Committee Meeting
November 8, 2007

Meeting called to order in the PAC by President  Louanne Klein at  6:15 PM.

Introductions and personal goals

All NonProfit members talked about why they are on the board, what is important to them, and personal goals for participating on the board.

President’s Report –  Louanne Klein

Reviewed the overview of the Non-Profit Process. Refer to the Board Meeting Agenda for the list.

Corporate name has been chosen (Acalanes Choral Boosters, Incorporated) and Articles of Incorporation draft has been prepared.

Discussed the moving the Apply for Nonprofit Mailing Permit from optional to mandatory.

Next steps are preparing the Bylaws and file the Articles of Incorporation with the State of California.

Reviewed and made corrections to the Contact List.

Roles and responsibilities (refer to Board Meeting Agenda for details)

Discussed the transition for Directors from 2007/2008 year to the 2008/2009 year. 

Reviewed the roles in the corporation including Director and Officers duties.

Issues (refer to Board Meeting Agenda for details)

Signed Articles of Incorporation document. Louanne to deliver to Secretary of State. Linda to create Corporate Records Book.

Proposed Bylaws: Draft will be available soon.  Linda to purchase Roberts Rule of Order book for the Boards’ use and reference.

Tax Exemption Status:  Need to begin this process.

Issuance of Memberships:  Begin discussion the type of membership this organization will have (voting or 2nd tier advisory board). Be prepared to discuss at the next meeting.

Transfer of Assets from Predecessor Organization:  Need to contact Emily Finn, Financial Secretary.  Need to set up a process of reimbursement of costs before Not for Profit status.

Insurance – Will it be needed?

Decide on type of membership.
Contact Emily Finn in the school office.
Purchase Roberts Rule of Order book
Create Corporate Records Book.
